International Distributor Activities

Dear PureWorks Distributor, Thank you for your hard work in sharing the PureWorks products and opportunity with so many people across the country. We are grateful for all of your efforts and congratulate you on your success. Today I am writing you about a very important issue concerning the growth and development of PureWorks - the prospect of future international expansion and the current prohibition on international marketing activities.

The PureWorks management team has begun an analysis of future expansion beyond the borders of the United States. We are excited about such possibility and are committed to moving forward in a prudent fashion. As our distributor network continues to grow, we are receiving inquiries about selling our products and recruiting distributors in foreign countries. Each country has specific and often complex rules about establishing business entities, product registrations, sales, and distribution channels. PureWorks is working to enter these markets in an orderly, lawful manner. Distributors who independently and prematurely attempt to enter other countries cause confusion and disarray. Therefore, it is essential that each of you understands the current prohibitions on international marketing. Violating these prohibitions could damage PureWorks' ability to move internationally and result in disciplinary proceedings up to and including the termination of your independent distributorship.

For this reason, I call your attention to Section 4.18 - International Marketing of the PureWorks, LC Statement of Policies and Procedures ("Policies and Procedures") and ask that each of you read this section in its entirety. It states in relevant part:

"Because of critical legal and tax considerations, including: compliance with foreign laws regarding the approval, registration or licensure of products; regulations regarding ingredients, labeling, and packaging; cautionary statements; protection of intellectual property; compliance with customs, tax, and immigration laws; compliance with direct selling laws; product and income representations; and literature content and language requirements, PureWorks must limit the resale of PureWorks products, and the presentation of the PureWorks opportunity to prospective customers and Distributors located within the United States and U.S. Territories. . ."

"Accordingly, Distributors are authorized to sell PureWorks products, and enroll Preferred Customers or Distributors only in the countries in which PureWorks is authorized to conduct business, as announced in official company literature. In addition, no Distributor may, in any unauthorized country: (a) conduct sales, enrollment or training meetings; (b) enroll or attempt to enroll potential customers or Distributors; or (c) conduct any other activity for the purpose of selling PureWorks products, establishing a marketing organization, or promoting the PureWorks opportunity."

Please recognize that shipping PureWorks products internationally is considered an "activity for the purpose of selling PureWorks products, establishing a marketing organization, or promoting the PureWorks opportunity" internationally and, therefore, is prohibited.
